On the Administration page of my forums in PHPNuke I have this message:
Your installation does not seem to be up to date. Updates are available for your version of phpBB, please visit http://www.phpbb.com/downloads.php to obtain the latest version.
The latest available version is phpBB 2.0.21.You are running phpBB 2.0.15.
Is it possible to update the forums without losing current threads/members etc?
Also, where should I place the new files once downloaded. In /themes/currenttheme/forums or /modules/forums ?

There are specialized scripts available at www.nukeresources.com for this job. They are called BBtonuke and have to be run sequentially from 2.0.15 to 2.0.16, 16 to 17, and so on. DO NOT use the upgrade scripts from phpBB2.com! Those are only for standalone boards, not nuke-embedded boards. Run them, and your forums are toast.
The BBTonuke upgrades preserve your current tables, templates, etc. They provide necessary security features to keep your forums safe.
